Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Amuni LLC (“Members Place”, “we”, “our”, or “us”) governing your access to and use of our websites, mobile applications, and any related products or services (collectively, the “Service”). If you do not agree to these Terms, do not access or use the Service.

1. Eligibility & account

• You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a contract.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You must promptly notify us of any unauthorised use.
• We reserve the right to refuse access or suspend accounts that violate these Terms.

2. Verification & memberships

The Service is designed for verified members of private clubs and similar organisations. We may request documentation (e.g. membership number, confirmation e-mail) to confirm your affiliation. Providing false information is strictly prohibited and may result in termination.

3. User content

• You retain ownership of the photos, text, and other content (“User Content”) you upload but grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, distribute, and display your User Content (and to create aggregated, anonymized data for analytics and product improvement), all as reasonably necessary to operate and promote the Service.
• You represent that you have all rights necessary to upload the User Content and that it does not infringe anyone else’s rights.
• We may remove or moderate User Content that we believe violates these Terms or applicable law.

4. Acceptable use

You agree NOT to:

• Violate any law, regulation, or third-party right.
• Harass, stalk, defame, or threaten others, or post content that is hateful, obscene, or pornographic.
• Scrape, crawl, or otherwise collect data from the Service without our prior written consent.
• Reverse-engineer, decompile, or attempt to obtain source code.
• Use the Service to send unsolicited commercial communications (spam).

5. Subscriptions & payments

• Certain features may require a paid subscription handled by Stripe, Apple, Google, or any other payment processor we may integrate. All prices are shown before you complete a purchase.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage or cancel in your App Store / Play Store or Stripe or other payment processor customer portal.
• Fees are non-refundable except as required by law or as stated explicitly in the purchase flow.

6. Intellectual property

The Service and its underlying software, design, and trademarks are owned by Amuni LLC or its licensors. Except for the limited licence granted by these Terms, we reserve all rights.

7. Third-party services

The Service may contain links to third-party sites or services. We do not endorse and are not responsible for those external sites or services.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or availability of any specific feature.

9. Limitation of liability

To the fullest extent permitted by law, Amuni LLC and its members, directors, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless Amuni LLC and its affiliates from any claim or demand arising out of your use of the Service or violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for any reason including if you violate these Terms or if required by law. Sections intended to survive termination (e.g. licences, disclaimers, limitation of liability) will continue in effect.

12. Governing law & dispute resolution

These Terms are governed by the laws of the State of New York, USA, without regard to conflicts of law principles. You and we agree to first attempt to resolve any dispute informally. If we cannot, the dispute will be resolved by binding arbitration in New York County, NY, under the Commercial Arbitration Rules of the American Arbitration Association. Before arbitration, we each agree to try informal resolution for at least 30 days. YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

13. Changes to these Terms

We may update these Terms from time to time and without notifiying you. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. Assignment

You may not assign these Terms. We may assign or transfer our rights and obligations without notice.

16. Severability

If any provision is invalid, the rest remain in effect.

17. Waiver

Our failure to enforce any provision is not a waiver of that right.

18. Force Majeure

We are not liable for delays beyond our control (e.g., acts of God, strikes, Internet outages).

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company.
